Terms of Service

1. Introduction
Welcome to Vouch ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Vouch platform, website, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
2. About Vouch
Vouch is a curated marketplace platform that connects local vendors offering experiences—including wellness services, workshops, tastings, tours, and other activities—with customers seeking quality local experiences at exclusive prices. We facilitate the sale of vouchers for these experiences through time-limited and quantity-limited campaigns.
Vouch acts as an intermediary platform and is not the provider of the underlying experiences. Vendors are solely responsible for delivering the experiences associated with their vouchers.
3. User Accounts
3.1 Account Registration
To purchase vouchers or access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
3.3 Account Types
We offer different types of accounts:
- Buyer Accounts: For customers purchasing vouchers
- Vendor Accounts: For businesses offering experiences through our platform
- Admin Accounts: For platform administrators
4. Voucher Purchases
4.1 Purchase Process
When you purchase a voucher through our Service, you are entering into a binding agreement to pay the stated price. All purchases are subject to acceptance by us and the relevant vendor. We reserve the right to refuse or cancel any order at any time for any reason.
4.2 Payment
All payments are processed securely through our payment provider, Stripe. By providing payment information, you represent and warrant that you have the legal right to use the payment method and authorize us to charge the applicable fees. All prices are listed in the local currency and include applicable taxes unless otherwise stated.
4.3 Order Confirmation
Upon successful purchase, you will receive an email confirmation containing your voucher details, unique voucher code, and redemption instructions. Please check your spam folder if you do not receive confirmation within 24 hours.
4.4 Voucher Limitations
Campaigns may be subject to time limitations, quantity limitations, or other restrictions as specified in the campaign details. Vouchers cannot be purchased once a campaign has expired or sold out.
5. Voucher Redemption
5.1 Redemption Methods
Vouchers may be redeemed through one of the following methods, as specified by the vendor:
- In-Person Redemption: Present your unique voucher code or QR code to the vendor at their physical location
- Vendor Discount Code: Use the provided discount code on the vendor's website or booking system
Each voucher may only be redeemed once through one redemption method. Once redeemed, the voucher cannot be used again.
5.2 Expiration
Vouchers are valid for the period specified in the campaign details. Expired vouchers cannot be redeemed or refunded unless otherwise required by law.
5.3 Booking Requirements
Some experiences may require advance booking or reservation. You are responsible for contacting the vendor to arrange your booking in accordance with the redemption instructions provided with your voucher.
5.4 Voucher Transfer
Unless otherwise stated, vouchers may be transferred to another person for their use. However, vouchers may not be resold for profit or commercial purposes.
6. Refunds and Cancellations
6.1 Right of Withdrawal
In accordance with EU consumer protection laws, you have the right to withdraw from your purchase within 14 days of the date of purchase without giving any reason. However, this right does not apply if:
- The voucher has already been redeemed
- You have booked or scheduled the experience with the vendor
- The campaign has ended and the voucher has been activated
To exercise your right of withdrawal, you must inform us of your decision by contacting us through the methods provided in Section 15.
6.2 Refund Policy
If you are eligible for a refund, we will process the refund within 14 days to the original payment method used for the purchase. Refunds may take additional time to appear in your account depending on your payment provider.
6.3 Campaign Cancellation
If a vendor cancels a campaign or is unable to fulfill vouchers, we will provide a full refund to affected customers. We are not liable for any additional costs or damages resulting from campaign cancellations.
7. Vendor Terms
7.1 Vendor Registration
To offer experiences through our platform, vendors must complete our onboarding process, provide accurate business information, and comply with all applicable laws and regulations.
7.2 Campaign Creation
Vendors are responsible for creating accurate campaign descriptions, setting appropriate pricing, determining availability, and providing clear redemption instructions. All campaign content must be truthful and not misleading.
7.3 Experience Delivery
Vendors must honor all vouchers sold through the platform and deliver experiences as described in the campaign details. Vendors are solely responsible for the quality and delivery of their experiences.
7.4 Platform Fees
Vendors agree to pay platform fees as specified in their vendor agreement. Platform fees are deducted from voucher sales proceeds before payout to the vendor.
7.5 Payouts
Vendor payouts are processed according to the payout schedule specified in the vendor agreement. Payouts are calculated based on sold vouchers, regardless of redemption status, unless otherwise agreed.
7.6 Payment Processing
Vendors must connect their Stripe account to receive payouts. Vendors are responsible for providing accurate payment information and maintaining their payment account in good standing.
8. User Conduct
You agree not to:
- Use the Service for any illegal purpose or in violation of any local, national, or international law
- Violate or infringe upon the rights of others, including intellectual property rights
- Transmit any harmful code, viruses, or malicious software
- Attempt to gain unauthorized access to the Service or other users' accounts
- Engage in any fraudulent activity, including fraudulent purchases or redemptions
- Harass, abuse, or harm other users or vendors
- Use the Service to distribute spam or unsolicited communications
- Scrape or extract data from the Service without permission
- Resell vouchers for commercial profit
9. Intellectual Property
The Service and all content, features, and functionality (including but not limited to text, graphics, logos, images, and software) are owned by Vouch or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use.
10. Third-Party Services
Our Service integrates with third-party services, including payment processors (Stripe), authentication providers, and vendor booking systems. Your use of these third-party services is subject to their respective terms of service and privacy policies.
We are not responsible for the availability, accuracy, or content of third-party services. Any issues with third-party services should be directed to the respective service provider.
11. Disclaimers and Limitation of Liability
11.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 No Warranty for Vendor Services
We do not guarantee the quality, safety, or legality of the experiences offered by vendors. We are not responsible for the actions or omissions of vendors, including their failure to deliver experiences as described.
11.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VOUCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR €100, WHICHEVER IS GREATER.
11.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vouch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Any experiences you provide as a vendor through the platform
13. Dispute Resolution
13.1 Customer Support
If you have any concerns or disputes, please contact our customer support team first. We are committed to resolving issues promptly and fairly.
13.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.
13.3 Jurisdiction
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
13.4 EU Online Dispute Resolution
If you are a consumer based in the European Union, you may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
14. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
15. Account Termination
15.1 Termination by You
You may terminate your account at any time by contacting us. Upon termination, your right to access and use the Service will immediately cease.
15.2 Termination by Us
We may suspend or terminate your account and access to the Service at any time, without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise unlawful or harmful to us or third parties.
15.3 Effect of Termination
Upon termination, you will still be responsible for any outstanding obligations, and you will retain access to any unredeemed vouchers associated with your account, subject to their expiration dates.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Vouch regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
